Handling Agreements for HHMI Lab Heads and their labs at Duke University
All draft agreements relating to HHMI Lab Heads and/or their labs must be reviewed by an HHMI attorney prior to negotiation and/or signing as detailed below. HHMI expects Duke University to review the terms of all new agreements and advise the HHMI Lab Head if there are any restrictions or any conflicts with the terms of agreements that are already in place. Grants administrators should reach out to ORA/ORS for guidance on any of the following:
- MTAs for current HHMI Lab Heads: MTAs for materials transferred into the lab or materials transferred out of the lab of a current HHMI Lab Head
- Outgoing MTAs for former HHMI Lab Heads: MTAs for materials transferred out of the lab of a former HHMI Lab Head
- Inventions, Assignments, and Licenses: Close-to-final drafts, including Options and Inter-Institutional Agreements (IIAs) for intellectual property and/or materials developed in an HHMI lab
- Other Agreements:
- Confidential Disclosure Agreements (if review is required by HHMI’s Confidential Disclosure Agreements policy)
- Company Funding Arrangements
- Unfunded Research Collaborations
- Consulting Agreements (if your office reviews them)
- Funding Arrangements with Individual, Government or Non-profit entities (if review is required by HHMI’s Funding Arrangements with Nonprofit, Individual, and Governmental Sources policy)
